1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, and services provided by AutoShop Pro ("AutoShop Pro," "we," "us," or "our"), including yourautoshop.pro and the AutoShop Pro shop management platform (the "Services"). If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Accounts & Eligibility
- You must be at least 18 years old and able to form a legally binding contract.
- You must provide accurate, current, and complete information when registering.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must notify us immediately of any unauthorized access or security breach.
3. Subscriptions & Billing
The Services are offered on a subscription basis. By subscribing, you agree to pay the fees listed on our pricing page or in your order form.
- Billing cycle: subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- Payment: you authorize us (and our payment processor) to charge your payment method on each renewal.
- Taxes: fees are exclusive of applicable taxes, which you are responsible for.
- Price changes: we may change prices with at least 30 days' notice before your next renewal.
- Refunds: subscription fees are non-refundable except where required by law or expressly stated in writing.
- Late payment: past-due accounts may be suspended or terminated, and may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
4. Free Trial
We may offer a free trial. At the end of the trial, your account will convert to a paid subscription unless you cancel. Trial accounts may have feature limitations and are provided "as is" without warranty.
5. Acceptable Use
You agree not to, and not to allow anyone else to:
- Use the Services in violation of any law or regulation.
- Upload or transmit malware, viruses, or harmful code.
- Interfere with or disrupt the Services, servers, or networks.
- Attempt to gain unauthorized access to any portion of the Services or related systems.
- Reverse engineer, decompile, or otherwise derive source code from the Services, except to the extent expressly permitted by law.
- Use the Services to send unsolicited commercial messages or spam.
- Resell, sublicense, or make the Services available to any third party except as expressly permitted.
- Use the Services to develop a competing product or for benchmarking without our prior written consent.
6. Your Data
You retain all rights in the data you submit to the Services ("Your Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Data solely to provide and improve the Services. You are responsible for the accuracy and legality of Your Data and for obtaining any consents required from your customers.
Our handling of personal information is described in our Privacy Policy.
7. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by AutoShop Pro or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription in accordance with these Terms. All rights not expressly granted are reserved.
You may submit feedback or suggestions about the Services. By doing so, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction.
8. Third-Party Services
The Services may integrate with third-party products (for example, parts catalogs, payment processors, SMS providers, or accounting platforms). Use of those products is governed by the third party's own terms, and we are not responsible for third-party services. Enabling an integration authorizes us to exchange relevant data with the third party.
9. Confidentiality
Each party may be exposed to non-public information of the other ("Confidential Information"). Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses for its own, and only to use it to perform under these Terms.
10. Warranties & Disclaimers
We warrant that we will provide the Services in a professional manner consistent with generally accepted industry standards. Except as expressly stated in these Terms, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms or the Services, even if advised of the possibility.
AutoShop Pro's total aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless AutoShop Pro and its affiliates, officers, directors, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) Your Data, or (c) your use of the Services in violation of applicable law.
13. Suspension & Termination
- By you: you may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
- By us: we may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts due, or engage in conduct that we reasonably believe may harm us, other users, or the Services.
- Effect of termination: upon termination, your right to use the Services ends. You may request export of Your Data for up to 30 days after termination. We may delete Your Data thereafter in accordance with our retention practices.
- Survival: provisions that by their nature should survive termination will survive, including sections on Intellectual Property, Confidentiality, Warranties, Liability, Indemnification, and Governing Law.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Leon County, Florida for any dispute arising under these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
Any claim must be filed within one (1) year after it arises; otherwise, it is permanently barred.
15. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the Services at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
16. General Provisions
- Entire agreement: these Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between the parties.
- Severability: if any provision is held unenforceable, the remaining provisions will remain in effect.
- No waiver: failure to enforce any provision is not a waiver of future enforcement.
- Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: neither party is liable for delays or failures caused by events beyond reasonable control.
- Relationship: the parties are independent contractors; no partnership, agency, or joint venture is created.
- Notices: we may give notices through the Services, by email, or by mail to the address on file. Notices to us must be sent to the address below.
